Partner Terms

partners-terms-2026-11-07

Article 1 (Purpose)

These Terms set the basic conditions for lectures and projects between Quantum Jump Club ("QJC") and the instructors, FDEs, and developers registered with QJC as partners ("Partners").

Article 2 (Definitions)

"Client" means an education operator, accelerator, public institution, or company that enters into an education or service contract with QJC.

"Engagement" means a single lecture or project that QJC offers to a Partner and the Partner accepts.

"Lecture Fee" means the payment QJC sets for each Engagement and states to the Partner. In these Terms, payment for a project Engagement is handled the same way as a Lecture Fee.

Article 3 (Contract Structure)

QJC enters into the education or service contract with the Client directly and is the party responsible for performing that contract.

The Partner enters into a separate mandate agreement with QJC for each Engagement. The Partner does not enter into a separate contract with the Client for that Engagement.

The Partner is not an employee of QJC. Neither these Terms nor any Engagement creates an employment relationship between QJC and the Partner.

Article 4 (Partner Registration)

A person who wishes to become a Partner submits the application form QJC provides. QJC reviews the application, decides whether to register the applicant, and sends the result by email.

Registration does not promise any number or amount of Engagement offers.

The Partner states only true facts in the application and profile. When career or teaching history changes, the Partner updates it in the Partner Portal.

Article 5 (Offers and Acceptance)

When QJC offers an Engagement, it states the topic, audience, date and time, venue or online format, length, and Lecture Fee.

The Partner may accept or decline any offer. Declining does not affect future offers or the Partner's registration.

When the Partner accepts, the mandate agreement for that Engagement is formed. The date, time, and venue follow the Client's education schedule and apply only to the extent the Partner has accepted them.

Article 6 (Delivering the Lecture)

The Partner prepares and delivers each accepted Engagement using the Partner's own expertise and methods. The Partner decides the lecture structure, materials, and delivery format.

The Partner follows the education goal, topic, and length confirmed at the offer stage. QJC passes on the Client's requests to the Partner, such as learner level, equipment, and facility guidance.

The Partner does not take individual instructions from QJC or the Client on how to deliver the lecture. The Partner does follow the safety and access rules of the Client's facility.

The Partner is free to deliver lectures and projects for other companies and institutions outside QJC, subject to Article 10.

Article 7 (Lecture Fee and Payment)

QJC sets the Lecture Fee for each Engagement. The fee is fixed at the amount stated in the offer the Partner accepted.

QJC pays the Lecture Fee within 7 days after the Engagement is completed and QJC confirms that the Client has paid QJC for that Engagement.

QJC withholds business income tax of 3.3% (income tax and local income tax combined) and sends the remaining amount to the bank account registered in the Partner's own name.

If the Client's payment has not been confirmed 90 days after the lecture date, QJC pays the Lecture Fee within 7 days from that day. However, while the Client disputes payment on the grounds of the Partner's lecture content, QJC may defer payment until that review is complete.

Article 8 (Cancellation and Rescheduling)

If the Client cancels or reschedules an Engagement, QJC informs the Partner without delay.

If QJC receives a cancellation charge from the Client, QJC states for each Engagement whether any part of it is paid to the Partner and how much.

If the Partner cannot deliver an accepted Engagement for personal reasons, the Partner informs QJC as soon as the Partner becomes aware of it. QJC may then arrange another instructor for the Engagement.

Article 9 (No-Shows)

If the Partner does not appear without prior notice, or cancels for personal reasons within 24 hours before the lecture starts, no Lecture Fee is paid for that Engagement. QJC arranges another instructor and performs its contract with the Client.

Illness, accident, a family emergency, natural disaster, or any other cause the Partner could not avoid is not a no-show under this Article. The Partner informs QJC of the cause as far as possible.

If two no-shows under this Article occur within 12 months, QJC may suspend or end the Partner's registration under Article 15.

Article 10 (Restriction on Direct Contracts)

The Partner does not enter into a contract for the same type of lecture or project directly with a Client that the Partner came to know through an Engagement offer from QJC, without going through QJC. This includes the organizing institution of an education program the Client operates.

This restriction applies for 12 months from the last lecture date for that Client. If the Partner was only proposed to that Client and did not deliver a lecture, it applies for 12 months from the offer date.

This restriction does not apply in the following cases.

  1. The Partner already had a business or contact relationship with the Client before QJC's offer and informed QJC of it within 7 days after receiving the offer.
  2. The Client seeks instructors through an open tender or open call, and the Partner applies as a general applicant.
  3. QJC agrees to the direct contract by email.

If a Client contacts the Partner directly, the Partner informs QJC and asks the Client to proceed through QJC.

If the Partner breaches this Article, QJC may end the Partner's registration. QJC may also claim compensation for the loss caused by the breach. The loss is measured by the profit QJC would have earned had it handled that contract, and the Partner may contest the amount by showing that the actual loss is smaller.

Article 11 (Public Profile)

After its own review, QJC may post the Partner's name, one-line introduction, career, teaching history, and the lecture videos the Partner has agreed to make public on qjc.app and in proposal materials sent to Clients.

QJC does not publish the Partner's phone number, email address, messenger account, or personal website address. The Partner also does not put such contact details in the profile.

The Partner may ask at any time, through the Partner Portal or by email, to make the profile private or to remove it. QJC applies the request within 3 business days after receiving it.

QJC may be unable to recall proposal materials already sent to a Client. In that case, QJC does not use those materials in any new proposal.

If any content is untrue or cannot be confirmed, QJC may ask the Partner to correct it and may hold the profile from posting until it is corrected.

Article 12 (Rights to Materials and Lecture Videos)

The copyright in lecture materials the Partner creates remains with the Partner.

QJC and the Client may use the materials only within the purpose of that Engagement, such as handing them out to its learners. Any use for other programs or for sale requires the Partner's separate consent.

A lecture is recorded only when the Partner consents for that Engagement, and the use of the recording follows that consent.

The Partner does not use materials that infringe anyone else's copyright or other rights.

Article 13 (Confidentiality and Personal Data)

The Partner does not use outside the Engagement, or disclose to anyone, the Client's business information or learners' personal data obtained while performing the Engagement.

The Partner deletes learners' personal data received for an Engagement without delay once the Engagement ends.

The obligations in this Article continue for 3 years after the Engagement ends. Obligations regarding personal data continue without time limit.

QJC processes the Partner's personal data according to the QJC Privacy Policy.

Article 14 (Compensation for Loss)

QJC and the Partner each compensate the other for loss caused by their own intent or negligence.

If QJC pays compensation to a Client because of the Partner's intent or gross negligence, QJC may claim that amount from the Partner. Unless the Partner acted intentionally, the claim does not exceed the Lecture Fee for that Engagement.

Article 15 (Suspension and Termination)

The Partner may ask at any time, through the Partner Portal or by email, to end the registration. Engagements already accepted are either completed, or cancelled with notice to QJC at least 14 days before the lecture date.

QJC may suspend or end a Partner's registration in the following cases.

  1. The Partner stated untrue information in the application or profile.
  2. Two no-shows under Article 9 occurred within 12 months.
  3. The Partner breached Article 10, 12, or 13.
  4. The Partner engaged in discrimination, harassment, or any other unlawful conduct toward learners or Clients.

Before suspending or ending a registration, QJC states the reason by email and gives the Partner at least 7 days to respond. In an urgent case involving learner safety, QJC acts first and informs the Partner right away.

After the registration ends, Lecture Fees for Engagements already completed are still paid under Article 7. Articles 10, 12, 13, and 14 continue after the registration ends for the periods stated in each Article.

Article 16 (Taxes)

The Partner files and pays taxes on the Partner's own income.

If a Partner with a business registration wishes to issue a tax invoice, the payment method is agreed with QJC for each Engagement.

Article 17 (Notices)

QJC sends notices to the email address the Partner registered. The Partner updates the address in the Partner Portal when it changes.

Article 18 (Changes to These Terms)

When QJC changes these Terms, it posts notice on qjc.app at least 7 days before the effective date. Changes unfavorable to Partners are posted at least 30 days before the effective date and also sent to each Partner by email.

Engagements accepted before a change remain under the Terms in force when they were accepted.

A Partner who does not agree to a change may ask to end the registration under Article 15.

Article 19 (Dispute Resolution)

QJC and the Partner first try to resolve any dispute through discussion.

These Terms are governed by the laws of the Republic of Korea. If discussion does not resolve the dispute, it is resolved by the court with jurisdiction under the Korean Civil Procedure Act.

Supplementary Provision

These Terms take effect on November 7, 2026. (Version `partners-terms-2026-11-07`)

The Korean version prevails if the Korean and English versions differ.
